ChemSource AI is an AI-powered chemical sourcing platform that helps procurement professionals identify qualified chemical suppliers, cross-reference data from multiple marketplaces, and initiate supplier outreach using autonomous AI agents.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any such changes.

4. Accounts and Access

• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must provide accurate, current, and complete information during registration and keep it updated.
• You may not share your account with third parties or use the Service on behalf of someone else without authorisation.
• We reserve the right to suspend or terminate accounts that violate these Terms.

5. Subscription Plans and Billing

Access to certain features of ChemSource AI requires a paid subscription. By subscribing, you agree to the following:

• Subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected.
• Prices are displayed excluding applicable taxes (e.g. VAT), which may be added depending on your location.
• You authorise us to charge your payment method on a recurring basis until you cancel your subscription.
• Annual plans are non-refundable once the billing period has started, except where required by law.
• We reserve the right to modify pricing with at least 30 days' written notice.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations.
• Attempt to gain unauthorised access to any part of the platform, its servers, or related systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Transmit any harmful, offensive, or fraudulent content through the platform.
• Scrape, copy, or reproduce the platform's data or outputs for commercial redistribution without prior written consent.
• Use automated scripts or bots to interact with the Service, except through our approved API.

All content, features, and functionality of ChemSource AI — including but not limited to software, algorithms, text, graphics, logos, and user interface designs — are the exclusive property of Canigo Digital SLU or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Service solely for your internal business purposes in accordance with these Terms. No other rights are granted.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or free from harmful components.
• The results or supplier data obtained through the Service are accurate, complete, or suitable for any particular purpose.
• Any defects in the Service will be corrected within any specific timeframe.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Canigo Digital SLU and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — the Service, including but not limited to loss of profits, data, or business opportunities.

Our total aggregate liability for any claims arising out of or related to these Terms shall not exceed the amounts paid by you to Canigo Digital SLU in the twelve (12) months preceding the event giving rise to the claim.

10. Third-Party Services

ChemSource AI may display data sourced from or links to third-party platforms and chemical marketplaces. We do not control these third parties and are not responsible for their content, privacy practices, or availability. Your interactions with third-party services are governed by their own terms and policies.

11. Termination

Either party may terminate the contractual relationship at any time. You may cancel your subscription through your account settings or by contacting us at narcis@chemsource.app. We may terminate or suspend your access immediately if you breach these Terms.

Upon termination, all licences granted to you will immediately cease, and you must stop using the Service.

12. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Girona, Spain, unless mandatory consumer protection laws in your country of residence provide otherwise.

13. Changes to These Terms

We may revise these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
